1. Acceptance of Terms

By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms constitute a legally binding agreement between you and Opportunist. If you do not agree to these Terms, you must immediately stop using the Services.

2. Services

Opportunist ("the Platform," "we," or "us") provides a digital platform that helps individuals discover and access opportunities such as internships, events, volunteer work, and skill-building programs through third-party APIs and data sources. The Platform curates and recommends opportunities using personalized analytics and recommendation features.

Attendance, participation, and eligibility for any opportunity are the sole responsibility of the user. Opportunist does not verify, endorse, or guarantee the accuracy, availability, or quality of any third-party opportunity. The Platform is not liable for any issues, damages, or losses arising from the user's engagement with third-party opportunities or misuse of the Platform.

3. Account

Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. Opportunist will not be liable for any losses or damages arising from unauthorized use of your account.

Account Suspension and Termination: Opportunist reserves the right to suspend or terminate your account if you violate these Terms or engage in fraudulent or harmful activities. We also reserve the right to manage, suspend, or terminate accounts at our discretion.

Age limit: You (User) must be at least 14 years old to create an account or use the Platform, unless otherwise authorized by a participating institution or parent/guardian.

4. User Conduct and Responsibilities

By using Opportunist ("the Platform"), users agree to act responsibly and in compliance with all applicable laws and these Terms of Service. Users are solely responsible for their activity on the Platform and any opportunities they choose to engage with.

Users agree not to:

• Misuse the Platform for any unlawful, harmful, or deceptive purposes.
• Provide false, misleading, or incomplete information when creating an account or applying for opportunities.
• Attempt to access, modify, or interfere with any part of the Platform's code, systems, or security.
• Use automated tools (such as bots or scrapers) to collect data from the Platform without written permission.
• Share their account credentials or allow unauthorized access to their account.
• Post, upload, or distribute any content that violates others' rights, including intellectual property, privacy, or reputation.
• Engage in any activity that could damage, disable, or impair the operation of the Platform or third-party services connected to it.

Opportunist reserves the right to suspend or terminate access to any user who violates these terms or misuses the Platform.

5. Data Collection and Privacy

By using our services, users consent to the collection and use of certain personal and activity data by Opportunist ("the Platform," "we," or "us"). This data helps us improve user experience, provide personalized recommendations, and ensure platform functionality.

We may collect the following types of information:

• Account Information: such as name, email address, and login credentials.
• Usage Data: including opportunity sign-ups, niche selections, and activity within the Platform.
• Technical Information: such as interaction data (e.g., pages visited, time spent).

We use this data to:

• Personalize opportunity recommendations and platform content.
• Communicate with users about updates, new features, or support.
• Analyze user engagement to improve the Platform's effectiveness.

We do not sell or share personal information with third parties for marketing purposes. Data may be shared only with trusted partners or APIs necessary to deliver core features (such as opportunity listings), and always in accordance with applicable privacy laws.

6. Intellectual Property

All content, features, and functionality provided through the Opportunist Platform — including but not limited to our name, logo, design, layout, user interface, software code, algorithms, and analytics — are the exclusive property of Opportunist and are protected by applicable intellectual property and copyright laws.

Opportunist does not claim ownership over any third-party content, listings, or materials accessed through the Platform. All third-party data, such as opportunity descriptions or event details, remain the property of their respective owners and are provided for informational purposes only.

Users may access and use the Platform solely for personal, non-commercial purposes. No part of the Platform may be copied, reproduced, modified, or distributed without prior written consent from Opportunist.

7. Liability and Disclaimers

Use at Your Own Risk: The Opportunist Platform and all related services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. Opportunist does not guarantee that the Platform will always be available, uninterrupted, secure, or error-free.

8. Third-Party Content and Opportunities

Opportunist aggregates and displays opportunities from third-party sources. We do not control, verify, or endorse the accuracy, legality, or quality of any third-party listings, links, or materials displayed on the Platform. All engagement with external opportunities is done at the user's own discretion and risk.

No Liability for Third-Party Actions: Opportunist is not responsible or liable for any losses, damages, or claims arising from:

• Interactions with third-party organizations, employers, or programs.
• Inaccurate or outdated listings from external data sources.
• Missed, canceled, or misrepresented opportunities.
• Any misuse or unauthorized use of the Platform by users.

9. Acknowledgment of Payment and Third-Party Data

Users acknowledge that any payments made to Opportunist are solely for access to features within the Opportunist platform, including (but not limited to) multiple-niche selection, saving multiple opportunities, personalized recommendations, customizable UI, and other platform functionality.

Users further acknowledge that payments are not for access to third-party data, and that any third-party listings, opportunities, or information displayed in Opportunist remain the property of their respective owners.

10. Limitation of Liability

To the fullest extent permitted by law, Opportunist, its affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, resulting from your use of (or inability to use) the Platform.

10.1 No Professional Advice: Content and recommendations on Opportunist are for informational purposes only and should not be considered professional, educational, or legal advice. Users are encouraged to exercise their own judgment and verify details independently before acting on any opportunity.

10.2 Not Liable for losses under Opportunities: Opportunist is not responsible or liable for any personal injury, loss, theft, damage, or unlawful activity that may occur during or in connection with any third-party opportunity, event, or program discovered through the Platform.

Users understand that all in-person opportunities are hosted and managed by independent third parties, not by Opportunist. Participation in such events is voluntary and at the user's own risk. Opportunist does not conduct safety checks or background verifications for external hosts, organizations, or locations.

11. Legal / Governing Law & Dispute Resolution

These Terms of Service and any disputes arising from or relating to the use of the Opportunist Platform shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles.

Both parties agree to first attempt informal resolution by contacting Opportunistappus@gmail.com. If the matter cannot be resolved within thirty (30) days, the dispute shall be settled through binding arbitration in Hennepin County, Minnesota, except for claims eligible for small claims court.

You agree that any claim must be brought by you individually and not as part of any class, collective, or representative action. In no event shall Opportunist's total liability exceed the amount you paid (if any) to use the Platform in the twelve (12) months preceding the claim.

12. Explicit Agreement

By creating an account or using the Services, you explicitly agree to these Terms of Service. During the registration process, you will be required to check a box indicating your acceptance of these Terms. This agreement constitutes a legally binding contract between you and Opportunist.

13. Changes to Terms

Opportunist reserves the right to modify these Terms at any time. Users will be notified of significant changes through the Services. Continued use of the Services constitutes acceptance of the modified Terms. Users are encouraged to review these Terms periodically to stay informed about any updates.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Opportunist regarding your use of the Platform and supersede any prior agreements or understandings, written or oral.
